Constitution and By-Laws

Upon dissolution, the Organization’s assets shall be distributed exclusively for charitable purposes as determined by the Board of Directors in accordance with applicable laws.

BY-LAWS

ARTICLE I – MEMBERSHIP

  1. Eligibility: Membership shall be open to individuals and organizations that align with the mission of the Organization.
  2. Dues: The Board of Directors may set annual membership dues.
  3. Rights and Responsibilities: Members may participate in meetings, vote on specific issues, and support organizational activities.
  4. Termination: Membership may be revoked by a majority vote of the Board for actions inconsistent with the mission of the Organization.

ARTICLE II – BOARD OF DIRECTORS

  1. Composition: The Board shall consist of at least [X] members, including a President, Vice President, Secretary, and Treasurer.
  2. Terms: Directors shall serve for [X] years and may be re-elected for additional terms.
  3. Duties: The Board shall oversee operations, finances, and strategic direction.

  2. Ad Hoc Committees: The Board may establish temporary committees as needed.

ARTICLE V – MEETINGS

  1. General Meetings: Held [X] times per year for all members.
